When you engage Farlain for consulting or advisory services, we will agree in writing on the scope, timeline, and cost of the engagement before any paid work begins. Services are provided on a best-efforts basis.
Farlain uses a combination of proprietary methodologies, professional judgment, and third-party technology platforms and analytical tools in the course of delivering its services. The specific tools, processes, and workflows used to produce deliverables are at Farlain's sole discretion and may change over time. All outputs are reviewed, validated, and refined by Farlain before delivery to clients.
Important Disclaimer: Diagnostic findings, recommendations, and advice provided by Farlain represent potential opportunities and observations based on information you provide. These do not constitute guarantees of financial outcomes, business success, or specific results. Actual value depends entirely on implementation quality, market conditions, execution, and factors outside Farlain's control. Past or projected results do not guarantee future performance.
Farlain's services are advisory in nature and do not constitute legal, accounting, tax, or regulated professional advice. Clients should consult qualified professionals for matters requiring licensed expertise.
3. Intellectual Property
All content on this website, including text, graphics, logos, design elements, and code, is the property of Farlain or its content providers and is protected by Canadian and international copyright law. You may view and download content for your personal use only, but you may not reproduce, distribute, modify, or transmit any content without our express written permission.
Farlain's proprietary methodologies, frameworks, diagnostic processes, analytical workflows, report structures, and service delivery systems are trade secrets and confidential intellectual property of Farlain. 4. Limitation of Liability
To the fullest extent permitted by law, Farlain and Andrew Mitri shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages. This applies whether claims arise from contract, tort, or any other legal theory.
Your total liability and our total liability under these Terms shall not exceed the amount you paid for services, or $100, whichever is greater. Some jurisdictions do not allow limitation of liability, in which case this provision applies to the maximum extent permitted.
5. Confidentiality
Farlain treats all client information, business details, financial data, and other materials you share with us as strictly confidential. We do not share, sell, or disclose client information to third parties, except as required by law or as necessary to deliver our services through the technology platforms and tools described in Section 2.
We may reference general industry insights or anonymized learnings in our work, but we will never identify you or your business without explicit permission.
6. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. Any legal action or proceeding related to these Terms shall be brought exclusively in the courts of Ontario, Canada, and you consent to the jurisdiction and venue of such courts.
7. Changes to These Terms
Farlain reserves the right to modify these Terms at any time. Changes will be effective upon posting to this page. Your continued use of the site or services following any modification constitutes your acceptance of the updated Terms. If you do not agree to any modification, you should discontinue use of the site and services immediately.
